Terms and Conditions

1. Acceptance of these terms

These Terms of Use govern your access to and use of johnkason.com, and any linked campaign or landing pages (together, the "Site"), operated by Fieldhouse Capital Management Inc. ("Fieldhouse," "we," "us," or "our"). By accessing, viewing, browsing, or otherwise using the Site, you agree to abide by these Terms of Use. If you do not agree, please discontinue your use of the Site.

2. Not investment advice

This Site and any content relating to the official business of Fieldhouse is proprietary to Fieldhouse. All information on this Site, including any downloadable guides, is for informational purposes only and should not be interpreted as investment advice, nor as an offer or solicitation to buy or sell any security. You should never trade or invest unless you understand the risks involved and how they relate to your personal circumstances, this Site cannot achieve that necessary goal, and you should speak with a qualified advisor before making any financial decision. Nothing on the Site creates an advisory or client relationship between you and Fieldhouse; that relationship begins only once we've entered into a formal client agreement with you.

3. Information about our investment funds

The Site may make available information relating to investment funds managed by Fieldhouse, including performance information, offering memorandums, and subscription agreements (together, "Fund Materials"). The following applies to any Fund Materials made available through the Site:

  • Nothing on the Site constitutes an offer or solicitation to purchase securities in any jurisdiction where such an offer or solicitation would be unlawful, or to any person to whom it would be unlawful to make such an offer.
  • Securities of Fieldhouse's investment funds are distributed only in accordance with applicable prospectus exemptions under Canadian securities law, and only to investors who qualify under those exemptions. Access to or review of Fund Materials through the Site does not constitute a determination that you are eligible to invest, and does not entitle you to subscribe for any fund.
  • Any offering memorandum, subscription agreement, or related document made available on the Site is provided for reference only and is superseded in its entirety by the current, complete version of that document (together with any amendments) provided to you directly by Fieldhouse. Do not rely on Site content as the current or operative version of any Fund Materials, and do not subscribe for any fund on the basis of Site content alone.
  • Performance information relating to any Fieldhouse fund is historical, may be unaudited or subject to adjustment, and is not indicative of future results. The value of fund investments can go down as well as up, and you could lose some or all of the money you invest.
  • Fund Materials are confidential and provided solely for the use of the intended recipient. You may not reproduce, distribute, or forward Fund Materials to any other person without Fieldhouse's prior written consent.
  • Fund Materials are intended only for investors in jurisdictions where the relevant fund is qualified for distribution and are not directed to residents of any other jurisdiction.

4. Risk disclosure statement

The risk of loss in trading securities, commodities, or options can be substantial. You should therefore carefully consider whether such trading is suitable for you in light of your financial condition. In considering whether to trade or to authorize someone to trade for you, you should be aware of the following:

  • If you purchase or sell short a security, commodity, or option, you may sustain a total loss, or a loss greater than the margin required in the case of short selling, of the premium or capital invested and all transaction costs.
  • If you purchase or sell a security, commodity future, or sell a commodity option, you may sustain a total loss of the investment or initial margin funds and any additional funds that you deposit with your broker to establish or maintain your position if margin or leverage is used. If the market moves against your position you may be called upon by your broker to deposit a substantial amount of additional margin funds, on short notice, in order to maintain your position. If you do not provide the required funds within the prescribed time, your position may be liquidated at a loss, and you will be liable for any resulting deficit in your account.
  • Under certain market conditions, you may find it difficult or impossible to liquidate a position.
  • A "spread" position may not be less risky than a simple "long" or "short" position.
  • The placement of contingent orders by you or your advisor, such as a "stop-loss" or "stop-limit" order, will not necessarily limit your losses to the intended amounts, since market conditions may make it impossible to execute such orders.
  • In some cases, managed accounts are subject to charges for management and advisory fees. It may be necessary for accounts that are subject to these charges to make substantial trading profits to avoid depletion or exhaustion of their assets.

This brief statement cannot disclose all the risks and other significant aspects of security, commodity, and option markets. You should also be aware that Fieldhouse may engage in trading foreign securities, futures, and options. Transactions on markets located outside Fieldhouse's regulatory jurisdiction, including markets formally linked to other regulatory market jurisdictions, may be subject to regulations which offer different or diminished protection. Further, Fieldhouse's regulatory authorities may be unable to compel the enforcement of the rules of regulatory authorities or markets in other jurisdictions where your transactions may be affected.

5. Who we are

Fieldhouse Capital Management Inc. is registered as a Portfolio Manager, Investment Fund Manager, and Exempt Market Dealer in British Columbia, Alberta, Saskatchewan, Manitoba, and Ontario. The Site is intended for residents of Canada, and in particular the provinces in which we are registered. Nothing on the Site should be considered a solicitation to any person in a jurisdiction where we are not registered or where such solicitation would be unlawful.

6. Use of forms and submitted information

If you submit a form on the Site, you confirm that the information you provide is accurate and that you are providing it voluntarily. By submitting a form, you consent to being contacted by Fieldhouse by email and/or phone regarding your inquiry, in accordance with our Privacy Policy. You may withdraw that consent at any time.

7. Intellectual property

The Site and all of its original content, including text, graphics, logos, and design, are the sole property of Fieldhouse and are protected by Canadian and international copyright and intellectual property law. You may view and print pages for your own personal, non-commercial use, but may not otherwise copy, reproduce, republish, or distribute any content from the Site, including any Fund Materials, without our prior written permission.

8. No warranty

The Site and its content, including any Fund Materials and performance information, are provided "as is" and "as available," without warranties of any kind, express or implied, including as to accuracy, completeness, or fitness for a particular purpose. Markets and regulations change, and information on the Site may not reflect the most current developments.

9. Limitation of liability

To the fullest extent permitted by law, Fieldhouse and its directors, officers, employees, and agents will not be liable for any direct, indirect, incidental, or consequential damages arising from your use of, or inability to use, the Site, or from any decision made in reliance on its content.

10. Third-party links

The Site may contain links to third-party websites or social media platforms that we do not control. Fieldhouse is not responsible for the content or privacy practices of any linked site, and recommends that you review the terms and policies of any third-party site you visit.

11. Prohibited use

You agree not to use the Site in any way that is unlawful, that attempts to gain unauthorized access to our systems or to any restricted or confidential Fund Materials, or that involves scraping, harvesting, or automated collection of content or of other visitors' personal information.

12. Governing law

These terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in it, without regard to conflict of law principles.

13. Changes to these terms

Fieldhouse reserves the right to modify these Terms of Use at any time by posting the updated terms on the Site. Your continued use of the Site after any changes constitutes your acceptance of the new Terms of Use. If you do not agree with the changes, please discontinue your use of the Site.
